Terms & Conditions
The terms for the AI Grid Portal. You accept them when you sign up.
These Terms & Conditions (“Terms”) govern access to and use of the AI Grid SaaS portal, including any web portal, APIs, SDKs and related services (the “Service”), by the customer accepting these Terms (“Customer”, “you”) and its authorised users (“Users”).
Important: By ticking the checkbox, clicking “I agree”, accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms.
1. Who we are
AI Grid Ltd (“AI Grid”, “we”, “us”, “our”) is a company incorporated in England and Wales.
- Registered office: North Granary, Standen, Hungerford, RG17 0RB
- Company number: 16054577
- Contact: Jonathan.Aniszewski@aigrid.org.uk
We are based in the United Kingdom and provide the Service to customers globally. These Terms are governed by the laws of England and Wales (see Section 25).
2. Agreement & acceptance
By clicking “I agree”, accessing or using the Service, you accept these Terms.
If you have a separately executed master services agreement, order form or statement of work with AI Grid (collectively an “MSA”), that document prevails over these Terms to the extent of any conflict. Otherwise, these Terms apply.
3. Definitions
“Customer Data”: data, files, schemas, configurations and content that you or your Users upload to, ingest into, connect to, or otherwise process through the Service.
“Harmonised Data”: Customer Data after it has been cleaned, normalised, aligned (e.g., formats and time zones), validated and/or structured by the Service.
“Output”: analyses, dashboards, reports, forecasts, predictions, alerts, recommendations and other results generated by the Service from Customer Data and/or Harmonised Data.
“Usage Data”: aggregated and de-identified operational telemetry about use of the Service (e.g., performance metrics, feature usage, logs and diagnostics), excluding Customer Data.
“Confidential Information”: non-public information disclosed by a party and marked or reasonably understood as confidential.
4. Eligibility, accounts & use
The Service is provided for business use only. You must ensure Users are authorised and keep credentials secure. You are responsible for all activity under your accounts, including your Users’ compliance with these Terms.
5. Customer Data: you own it
5.1 Ownership. As between the parties, you own all right, title and interest in Customer Data. Nothing in these Terms transfers ownership of Customer Data to AI Grid.
5.2 Licence to process. You grant AI Grid a non-exclusive, worldwide, royalty-free licence to host, copy, process and display Customer Data solely to provide the Service, support, security, troubleshooting and to comply with law.
5.3 Data access and isolation (“no data leaves the Portal”). Customer Data is logically isolated to your workspace and is not made available to other customers. Access to Customer Data within the Service is limited to your authorised Users (via logins and access controls) and to AI Grid personnel/contractors strictly as needed to provide support, maintain security, and operate the Service. AI Grid does not disclose Customer Data to third parties except (a) to provide the Service via vetted subprocessors (including hosting on AWS) under appropriate obligations, (b) as you instruct (e.g., when you export/share data or Outputs), or (c) as required by law.
5.4 No training of public/third-party models. We do not use Customer Data to train public or third-party AI models, nor to build models for other customers, unless you give express written consent.
5.5 Output. Subject to your compliance with these Terms and payment of applicable fees, AI Grid assigns to you all right, title and interest it may have in Output derived from your Customer Data (excluding AI Grid’s pre-existing IP and generic know-how).
5.6 Usage Data. We may generate and use aggregated and de-identified Usage Data to operate, maintain, secure and improve the Service. Usage Data does not include Customer Data.
6. Data protection & privacy (UK GDPR)
Where AI Grid processes personal data on your behalf, AI Grid acts as Processor and you as Controller. The parties will comply with applicable data protection law and any data processing addendum (“DPA”) agreed between the parties. If a DPA is required, it will apply and be incorporated by reference to these Terms.
If Customer Data is transferred internationally, appropriate safeguards will be used where required (e.g., UK IDTA and/or EU SCCs, as applicable).
7. Security
AI Grid will implement appropriate technical and organisational measures designed to protect Customer Data, including encryption in transit and at rest, access controls, monitoring and incident response.
You are responsible for securing your endpoints, identity & access, and any data you export from the Service. Notify us promptly of any suspected compromise of your credentials.
8. Acceptable use
You and your Users must not:
- breach law or infringe intellectual property or privacy rights;
- upload malicious code or attempt to compromise the Service;
- attempt to bypass security, access controls, tenancy separation or rate limits;
- use another person’s account or access data you are not authorised to access;
- sub-licence, resell or provide the Service to third parties without written consent;
- use Output as the sole basis for medical, legal or financial decisions without appropriate professional review.
9. Data harmonisation & predictive analytics: important notices
9.1 Harmonisation. The Service may transform Customer Data into Harmonised Data by cleaning, mapping, normalising, aligning time zones and formats, deduplicating, validating completeness and quality, and creating structured datasets to support analytics.
You remain responsible for (a) the accuracy, legality and quality of Customer Data you upload, (b) reviewing mappings/configurations you select, and (c) validating Harmonised Data and any downstream use of it for your business purposes.
9.2 Predictive analytics. The Service may generate forecasts, predictions, and other probabilistic Outputs using statistical and machine-learning methods based on Customer Data/Harmonised Data and the settings you choose.
AI/ML systems are probabilistic: Outputs may be incomplete, contain errors, or be unsuitable for a particular purpose. You are responsible for validating Outputs for your use case, for human oversight, and for compliance with any applicable sector-specific requirements (e.g., regulated industries).
9.3 No guaranteed outcomes. We do not guarantee that the Service will achieve any specific prediction accuracy, performance improvement, or business outcome.
10. Third-party services & hosting (AWS)
The Service is hosted in the cloud, including on Amazon Web Services (“AWS”), and may interoperate with third-party tools or datasets that you elect to connect or use. AI Grid is not responsible for third-party terms, availability or performance. You are responsible for required licences and lawful use of any third-party data you connect.
AI Grid remains responsible for providing the Service to you under these Terms, including for its subcontractors’ acts and omissions in providing the Service.
11. Service availability, changes & beta
We aim to provide reliable service and will announce material changes in advance where practicable. From time to time we may offer beta/preview features; these are provided as-is, may change or be withdrawn, and are excluded from any service level commitments unless expressly stated in an MSA/order form.
12. Intellectual property
Except for Customer Data and Output, AI Grid and its licensors retain all rights in the Service, software, documentation, designs and know-how (“AI Grid IP”). You may not reverse engineer or create derivative works of AI Grid IP except to the limited extent permitted by law.
Feedback. If you provide feedback or suggestions, we may use them without restriction or payment.
13. Fees & taxes
Fees (if any) and billing terms are set out in your order form or MSA. Prices exclude VAT and applicable taxes, which you shall pay.
14. Confidentiality
Each party will keep the other’s Confidential Information confidential, use it only to perform these Terms, and disclose it only to personnel and contractors who need to know and are bound by equivalent obligations.
These duties do not apply to information that is public, independently developed or lawfully obtained from a third party. Upon request or termination, each party will return or securely destroy the other’s Confidential Information (subject to routine back-ups and legal retention).
15. Warranties & disclaimers
AI Grid will provide the Service with reasonable skill and care.
Except as expressly stated, the Service is provided “as is” and AI Grid disclaims all implied terms (including those relating to satisfactory quality, fitness for a particular purpose and non-infringement) to the fullest extent permitted by law.
16. Indemnities
By AI Grid (IP). AI Grid will defend and indemnify you against third-party claims that the Service (as provided by AI Grid) infringes intellectual property rights, and will either procure a licence, modify the Service or refund pre-paid fees for the affected portion if withdrawal is required. This indemnity does not apply to combinations not supplied by AI Grid, unauthorised use or your Customer Data.
By Customer (data/use). You will defend and indemnify AI Grid against claims arising from (a) Customer Data (including alleged illegality or rights infringement), or (b) your breach of these Terms.
17. Liability
Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot be limited by law.
Subject to the foregoing, each party’s aggregate liability arising out of these Terms is limited to the total fees paid or payable by you to AI Grid for the 12 months prior to the event giving rise to liability (or GBP 10,000 if you are on a free plan), and neither party is liable for indirect or consequential loss, loss of profits, revenue, goodwill or data (save for your direct costs of reconstituting data from your own back-ups).
18. Suspension & termination
We may suspend access immediately if needed to protect the Service or comply with law. Either party may terminate for material breach not remedied within 30 days of notice.
Upon termination: (a) your right to use the Service ends; (b) we will make Customer Data available for export for at least 30 days (unless legally prohibited); and (c) we will then delete Customer Data from active systems within a reasonable period, subject to back-ups and legal retention.
19. Export control & sanctions
You will not use the Service in violation of UK, EU, US or other applicable export control, sanctions or trade laws.
20. Anti-bribery & modern slavery
Each party will comply with applicable anti-bribery and anti-slavery laws and maintain policies and controls to prevent violations.
21. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control (e.g., outage of major cloud providers, war, natural disaster), provided it mitigates and resumes performance promptly.
22. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you (e.g., in-app notice or email). Changes take effect on the stated effective date. If you continue using the Service after notice, you are deemed to accept the updated Terms.
23. Assignment & subcontracting
You may not assign these Terms without our consent (not to be unreasonably withheld). We may assign to an affiliate or in connection with a merger or sale. We may use vetted subcontractors and remain responsible for their acts and omissions.
24. Notices
Legal notices must be sent to the addresses specified in Section 1 (or updated in writing) and are deemed received on the next business day if sent by email without bounce.
25. Governing law & jurisdiction
These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
26. Entire agreement
These Terms (and any incorporated DPA/MSA/order form) form the entire agreement regarding the Service and supersede prior discussions. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing.
